In this role, you will be responsible for the direction, management and administration of all Contracts Management activities for the Cyware corporate group. This includes, but is not limited to, managing a team of contracts managers, maintaining the contracts playbook, providing continuous process and procedure improvements, maintaining form agreements, redline and negotiation of simple to complex agreements, procurement workflow management and responsibility for ensuring contractual requirements are communicated to internal stakeholders. This role will require daily interactions with leaders across all departments (including sales, marketing, engineering), as well as with external clients. You must be results driven, quick to learn, organized, detail oriented and have a โcustomer firstโ attitude.\n\nCome join an exciting cybersecurity product startup that just closed Series C funding round!\nWhat You Will Do:\n\n\n* Manage a team of contract managers and maintain involvement with the review, redline, and negotiation of agreements for the entire corporate group, including NDAs, Master Agreements, Professional Services Agreements, Vendor Agreements and Sales Partnership Agreements.\n\n* Maintain and iterate on the existing contract playbook and form agreements.\n\n* Provide consultation and support to internal stakeholders during contract negotiations\n\n* Manage existing Contract Management methods and procedures and provide continuous improvements where appropriate\n\n* Provide education and support to the Sales and other internal teams on contracting procedures, best practices and contractual compliance\n\n* Oversee the administration and management of Ironclad and map strategy for implementing additional functionality and workflows. Includes migration strategy from prior CLM.\n\n* Management of the procurement workflow\n\n* Develop metrics and reporting to measure contracting time with a view to improving turnaround time as well providing visibility to the organization on key contractual matters and terms\n\n* Advise and assist leadership in other matters requiring legal research, advice or outside counsel involvement\n\n* Responsible for management of potential trademarks, patents, and other IP matters\n\n* Partners with compliance teams on overall privacy policies and implementing additional controls\n\n* Mentor and manage other contracts management team members \n\n* Provide legal support for customer-facing activities and agreements\n\n* Research, analyze and stay informed regarding relevant statutes, regulations, case law and proposed legislation relevant to commercial and government contracts to ensure appropriate risk management\n\n* Function as in house counsel on all contractual and other related matters\n\n* Be proactive and manage multiple tasks and assignments simultaneously\n\n* Demonstrate strong leadership skills and and coaching abilities\n\n* Work closely with business teams and clients, both domestically and internationally.\n\n* Create and monitor goals and priorities for the contracts team and be able to report on progress\n\n* Advise the leadership team on operational and strategic aspects of running the Contracts Department\n\n\n\nWho You Are\n\n\n* US Citizenship is a requirement of this position in accordance with 8 U.S.C 1324b(a)(2)(C)\n\n* Juris Doctor degree from an accredited law school\n\n* Active State Bar Membership in good standing in any U.S. jurisdiction\n\n* Must be located in Eastern Standard Timezone \n\n* At least 10 years of experience managing contracts in a corporate setting is required\n\n* At least 5 years experience working directly with international contracts and international entities is required\n\n* At least 3 years of experience working for a SaaS provider is required\n\n* At least 3 years of experience managing a contracts management team is required \n\n* Significant experience drafting and negotiating all forms of agreements, with a particular focus on complex or strategic agreements\n\n* Excellent communication skills with the ability to clearly articulate and explain complex concepts and contractual terms \n\n* High technical acumen \n\n* Experience with US Federal Government contracting, including a working knowledge of Multi-Award Schedules, is strongly preferred\n\n* Understanding of procurement best practices \n\n* Significant experience with Contracts Management software and databases is required; experience with Ironclad is preferred \n\n* Excellent and persuasive written and verbal communication skills \n\n\n\n\nWe're a lean team, so your impact will be felt immediately.
