If building a leading TPA and the prospect of tackling the long-standing challenges of the claims role sounds exciting, we canโt wait to meet you.\nAbout the role\n\nAs Reservโs first legal hire and in-house counsel, you will be the primary legal advisor and oversee all legal matters for the company. You will be responsible for developing and implementing legal strategies that align with our business objectives while managing legal risks and ensuring compliance with relevant laws and regulations. \n\nAs the first in-house counsel, you will build & incubate scalable operations and processes for the ways Legal interacts with business and engineering teams across Reserv. This role requires a proactive, innovative thinker with a deep understanding of startup dynamics and a strong ability to navigate complex legal landscapes.\n\nInitially, this role will report into the Vice-President of Strategy, who is also employee #2, a former securities law attorney, and reports to the CEO. When appropriate, this role will be elevated to General Counsel and report directly to the CEO.\nWho you are\n\nYou are a proactive and strategic legal leader with a passion for the dynamic world of startups. Your strategic mindset helps you define the appropriate risk appetite in each interaction you have with external and internal stakeholders\n\n* Experienced Professional: With significant experience in legal roles, particularly within startup or high-growth environments, you have a track record of (1) directly handling diverse legal matters, from corporate governance to intellectual property and contract negotiation to managing outside counsel and (2) building and incubating key legal operations and processes in a scalable way โ contract review, vendor management, IP review and IP rights\n\n* Problem Solver: You excel at finding practical solutions to legal challenges. Your problem-solving skills enable you to tackle complex issues with creativity and a focus on achieving positive outcomes.\n\n\n\n\nRisk optimizer: You understand how to prioritize and sort through different types of risk: knowing when to embrace risk whole-heartedly and knowing when to mitigate risk. Prioritization is your instinct. You handle sensitive information with discretion and uphold the highest standards of legal and professional conduct.\n\n\n\n\n\n* And did we mention, a sense of humor!\n\n\n\nWhat we need\n\nTo excel as Reservโs first legal hire, we need a legal leader who combines deep industry knowledge with a strategic, risk optimization approach. Your expertise will be critical in supporting our growth at the complex legal intersection of insurance services and cutting edge technology. Specifically, we are looking for:\n\n\n* Specific operational activities:\n\n\n\n* Build out a scalable Legal division at Reserv, with scalable processes to review contracts, manage vendors, strategically partner with and inform Engineering on IP, as well as manage Legal assets like contracts and trademarks\n\n* Identify & understand Reservโs risk appetite / optimization and institutionalize it with scalable processes and procedures that correspond to that level of risk\n\n* Source vendors and managing litigation counsel\n\n* Work closely with head of Compliance to develop and implement effective risk management strategies to address evolving regulatory challenges\n\n\n\n* Specific legal activities:\n\n\n\n* Hone and maintain a comprehensive understanding of market-standard provisions and legal positions in customer & vendor contracts for service-providers and SaaS companies; have a keen sense of how to manage litigation. Familiarity with M&A / deal work is a plus\n\n* Negotiate, draft, and review complex agreements, including technology partnerships, mergers & acquisitions, insurance policies, and vendor contracts. Ensure that all contracts are legally sound, protect the companyโs interests, and foster beneficial business relationships\n\n* Build and iterate on legal templates for a wide range of applications, from NDAs to MSAs, from statements of work to independent contractor agreements\n\n\n\n* Build Legal division into a strategic partner to business teams, improving the overall businessโ agility, strategic direction, & clarity of prioritization\n\n\n\n\nRequirements\n\n\n* 5+ years of legal experience, with mix of Big Law associate experience and in-house experience at start-ups\n\n\n\n* Recent experience as the first legal hire at a startup or second legal hire at a startup who helped build out the legal function at a startup\n\n* Prior experience in Big Law in formative early career years\n\n* Experience with insurtechs, SaaS businesses, or tech-enabled services is a plus but not necessary\n\n\n\n\n\n\n\n* Juris Doctor (JD) degree from an accredited law school.\n\n* Admission to the state bar in which you reside\n\n\n\n\nBenefits:\n\n\n* Generous health-insurance package with nationwide coverage, vision, & dental\n\n* 401(k) retirement plan with employer matching\n\n* Competitive PTO policy โ we want our employees fresh, healthy, happy, and energized!\n\n* Generous family leave policy\n\n* Work from anywhere to facilitate your work life balance \n\n* PC or Apple laptop, large second monitor, and other quality-of-life equipment you may want.
